1. Acceptance of Terms
By accessing or using EmployeeAssist.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
EmployeeAssist.ai provides an AI-powered HR, Benefits, and Payroll assistance platform that includes:
- AI-powered prompt templates for HR communications
- Employee self-service chatbot
- Compliance analysis and tracking tools
- Document generation and management
- Related features and functionalities
3. Account Registration
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Subscription and Billing
4.1 Subscription Plans
The Service is offered through various subscription plans (Free, Pro, Assurance, and Enterprise). Features and pricing for each plan are described on our pricing page and may be updated from time to time.
4.2 Payment
Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all fees incurred. All payments are non-refundable except as expressly set forth herein or required by law.
4.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of your current billing period, after which your account will be downgraded to the Free plan.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to harass, abuse, or harm others
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means to access the Service without our permission
- Resell, sublicense, or redistribute the Service without authorization
6. Your Data
6.1 Ownership
You retain all rights to the data you upload, input, or create using the Service ("Your Data"). We do not claim ownership of Your Data.
6.2 License to Us
You grant us a limited license to use, process, and store Your Data solely to provide the Service to you. This license ends when you delete Your Data or terminate your account.

7. AI-Generated Content
The Service uses artificial intelligence to generate content, analyses, and recommendations. You acknowledge that:
- AI-generated content may contain errors or inaccuracies
- You are responsible for reviewing and verifying all AI-generated content before use
- AI-generated content does not constitute legal, financial, or professional advice
- You should consult qualified professionals for matters requiring expert guidance
- We are not liable for decisions made based on AI-generated content
8. Compliance Tools Disclaimer
The compliance analysis and tracking features provided by the Service are intended as informational tools only. They do not guarantee compliance with any laws, regulations, or standards. You are solely responsible for ensuring your organization's compliance with applicable laws and should consult with qualified legal counsel.
9. Intellectual Property
The Service, including its software, design, text, graphics, and other content (excluding Your Data), is owned by EmployeeAssist.ai and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
10. Third-Party Services
The Service may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPLOYEEASSIST.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless EmployeeAssist.ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
17. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and EmployeeAssist.ai regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
